Company Registration in Indonesia

Can foreigners open a company in Indonesia or Bali?


Yes. Foreigners can establish a foreign-owned company (PT PMA) if the business field is open to foreign investment. We’ll assist from structure to licensing.

What’s the difference between PT, PT PMA, and PT PMDN?


PT: Local company, 100% local ownership.
PT PMA: Foreign-owned company.
PT PMDN: Domestic-owned company.

Each has its own benefits — we’ll help you pick the right one.

What is the minimum capital for a PT PMA?


The authorized capital is IDR 10 billion, and the paid-up capital must be at least IDR 2.5 billion for Investor KITAS purposes.

To qualify for an Investor KITAS, the applicant must personally hold shares valued at IDR 10 billion.

Do I need a local partner?


Not always. Some sectors allow full foreign ownership, while others require partial local participation. We’ll confirm based on your KBLI.

How long does company registration take?


Usually 1–4 weeks depending on the structure and region.

Can foreigners own property or land in Indonesia?


Yes — under specific legal structures such as Hak Pakai or via a PT PMA. We provide clear guidance to ensure ownership stays compliant.

What is land due diligence and why is it important?


It’s a verification of ownership, boundaries, zoning, and permits before buying or leasing. We conduct full due diligence to help you avoid future legal risks.

What’s the difference between Hak Milik, Hak Guna Bangunan, and Hak Pakai?


Hak Milik: Full ownership, only for Indonesian citizens.

Hak Guna Bangunan (HGB): Right to build for up to 30 years, extendable.

Hak Pakai: Right to use, available for foreigners or PT PMA.

Can you assist with villa leases or property agreements?


Yes. We draft and review lease and sale agreements that protect your investment and comply with local law.

Visas and Immigration

Can I work in Indonesia with a business visa?


No. A business visa only covers meetings and events. To work, you must obtain a KITAS or KITAP.

Can I get a KITAS as an investor?


Yes. The Investor KITAS requires at least IDR 10 billion paid-up capital and IDR 10 billion shares in the company.

How long is a KITAS valid?


Usually from 6 months up to 2 years, depending on the visa type.

What types of visas and KITAS are available in Indonesia?


There are several visa and stay permit options depending on your purpose:

  • Business Visa: for attending meetings, exhibitions, or short-term business visits.
  • Tourist Visa: for travel and leisure; not valid for work or business activities.
  • Working KITAS: for foreigners employed by an Indonesian company.
  • Investor KITAS: for foreign company shareholders or directors with a minimum IDR 2.5 billion paid-up capital and personal shareholding of IDR 10 billion.
  • Dependent KITAS: for family members of KITAS/KITAP holders.
  • Retirement KITAS: for retirees aged 55 or above who meet specific financial and accommodation criteria.

Contracts and Agreements

Trademark Registration in Indonesia

Why register my trademark?


Trademark registration secures exclusive rights to your brand and prevents misuse in Indonesia.

Can foreigners register a trademark?


Yes. Both individuals and companies can register through the Directorate General of Intellectual Property (DGIP).

How long does it take?


Generally 8–12 months. We manage filings and monitor progress on your behalf.

Can I register multiple brands or products?


Yes, each class or brand can be filed separately — we’ll guide you on the best filing strategy.

Compliance and Legal Services

Do I need BPJS for my employees?


Yes. BPJS Health and Employment are mandatory. We’ll handle the application and registration.

Do I need to file tax reports if my company isn’t operating yet?


Yes, even inactive companies must file monthly and annual tax reports.

Can Mantra handle my taxes or reports?


We don’t provide tax or accounting services, but we can connect you to trusted partners who do.

What if I miss a compliance deadline?


You may be fined or suspended — we can connect you to partners who can help regularize your compliance.

Licensing and Regulatory Support

Can you help obtain licenses in Indonesia?


Yes — we assist with NPWPD (Local Tax ID), Alcohol Licenses (SIUP-MB), Hygiene Licenses, and Groundwater Extraction Permits.

Do you assist with building or occupancy permits (PBG, SLF)?


No, we currently don’t handle PBG or SLF, but we can connect you with relevant specialists.

Do foreign companies need additional permits?


Yes, depending on the business field. We’ll help you identify what’s required to operate legally.
